These Terms of Use govern access to and use of the GagliTech LLC website. By accessing or using the site, you agree to be bound by these terms.

Terms of Use
These Terms of Use are a binding agreement between you and GagliTech LLC governing your access to and use of the GagliTech website operated by GagliTech LLC, including all pages, forms, content, messages, and related website features. These terms incorporate the Privacy Policy, the Cookie Policy, and any additional terms presented with a specific feature or communication channel.
Access to the Site; Eligibility
You may access the site solely to learn about GagliTech LLC and submit legitimate business inquiries from within the United States. You must be able to form a binding agreement to use the site. GagliTech LLC may modify, suspend, restrict, or discontinue any part of the site at any time, with or without notice. Access to the site is provided for general informational and business-contact purposes only and does not create a client relationship, service agreement, support obligation, business associate agreement, fiduciary relationship, or professional advisory relationship.
United States Only
The site and GagliTech LLC's services are intended only for persons and organizations located in the United States. GagliTech LLC does not target, solicit, market to, or offer services to persons or organizations outside the United States through this site. If you are located outside the United States, you should not submit information through the contact form.
Acceptable Use of the Site

- Do not submit protected health information, patient records, payment card details, Social Security numbers, passwords, security credentials, or other highly sensitive information through the contact form.
- Do not use the site in a manner that violates another person's rights, applicable law, or any obligation you owe to a third party.
Contact Form Submissions
When you submit the contact form, you represent and warrant that the information you provide is accurate, lawful, and submitted by you or with proper authorization. You remain responsible for the content of your submission. Submitting a form does not require GagliTech LLC to respond, accept work, provide services, preserve your submission indefinitely, or enter into any agreement.
No Medical, Legal, Compliance, or Emergency Advice
GagliTech LLC is not a medical provider, law firm, compliance auditor, emergency service, or covered entity. Website content does not provide medical advice, legal advice, clinical care, emergency assistance, security certification, or a guarantee of HIPAA compliance. Do not use the site for emergencies, urgent healthcare matters, security incidents requiring immediate response, or time-sensitive legal or compliance issues.

It may describe secure healthcare software, AWS cloud security, cloud infrastructure, deployment topics, privacy-conscious workflows, and GagliTech LLC projects, but it is not a substitute for advice tailored to your specific facts, systems, contracts, laws, or regulatory obligations. Intellectual Property
The site and all content, branding, layout, graphics, code, text, images, designs, and related materials are owned by GagliTech LLC or used with permission and are protected by intellectual property and other laws. Subject to these terms, GagliTech LLC grants you a limited, revocable, non-exclusive, non-transferable license to access and view the site for lawful business-inquiry purposes. You may not copy, modify, distribute, display, scrape, train artificial intelligence models on, create derivative works from, or otherwise exploit site materials except as allowed by law or with GagliTech LLC's prior written permission.
Feedback and Suggestions
If you submit ideas, feedback, suggestions, or other non-confidential information through the site, you grant GagliTech LLC a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate that information for business purposes without obligation to compensate you. Do not submit confidential information unless a separate written agreement with GagliTech LLC permits or requires it.
Third-Party Services
The site may rely on third-party infrastructure and contracted service providers to host content, deliver pages, process contact form requests, deliver email or SMS communications, provide security, and support operations. GagliTech LLC uses contracted service providers only where reasonably necessary to provide or support the site, communications, security, or related services, and those providers may use consumer data only to provide the contracted service under applicable confidentiality and data-use restrictions. Mobile Devices
If you access the site, submit forms, receive email, or receive SMS messages using a mobile device, your carrier's normal rates, data charges, message charges, and device terms may apply. You are responsible for your device, connectivity, security settings, and carrier relationship. GagliTech LLC is not responsible for delayed, blocked, unavailable, or undelivered mobile, email, or SMS communications caused by carriers, device settings, networks, filtering, or third-party systems. SMS consent is not a condition of purchase.
Warranty Disclaimer
The site and all website content are provided on an "as is," "as available," and "with all faults" basis. To the fullest extent permitted by law, GagliTech LLC disclaims all warranties, express, implied, statutory, or otherwise, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, title, non-infringement, security, uninterrupted operation, and error-free operation. GagliTech LLC does not warrant that the site will be secure, available at any particular time, free of harmful code, or suitable for your needs.
Limitation of Liability
To the fullest extent permitted by law, GagliTech LLC and its owner, affiliates, contractors, service providers, and representatives will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages; loss of profits; loss of revenue; loss of data; business interruption; loss of goodwill; security incidents outside GagliTech LLC's reasonable control; or damages arising from use of, inability to use, or reliance on the site. To the fullest extent permitted by law, GagliTech LLC's total liability for all claims arising from or relating to the site will not exceed one hundred U.S. dollars.
Indemnification
You agree to defend, indemnify, and hold harmless GagliTech LLC, its owner, affiliates, contractors, service providers, and representatives from and against all claims, demands, damages, liabilities, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising from or relating to your use of the site, your submissions, your violation of these terms, your infringement or misuse of another party's rights, or your violation of applicable law.
Termination
GagliTech LLC may suspend, restrict, or terminate your access to the site or any communication channel at any time, with or without notice, if GagliTech LLC believes you violated these terms, created risk, misused the site, submitted abusive or unlawful content, or acted inconsistently with the intended business-contact purpose of the site. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, governing law, arbitration, waiver, severability, and entire agreement.
Governing Law & Arbitration
These terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement in this section. Any dispute arising from or relating to the site or these terms will be resolved by binding individual arbitration unless applicable law requires otherwise or the claim qualifies for small claims court. Arbitration will occur in North Carolina unless the parties agree to another location or remote proceeding. You and GagliTech LLC waive the right to a jury trial and to participate in class, collective, consolidated, private attorney general, or representative actions to the fullest extent permitted by law. For any claim that is not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in North Carolina.
Waiver & Severability
GagliTech LLC's failure to enforce any provision of these terms is not a waiver of that provision or any other provision. If any provision is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.
Copyright Infringement Notices
If you believe material on the site infringes your copyright, send a written notice to GagliTech LLC at legal@gaglitech.com. Your notice should include: your physical or electronic signature; identification of the copyrighted work claimed to have been infringed; identification of the allegedly infringing material and information reasonably sufficient to locate it; your contact information; a statement that you have a good faith belief the disputed use is not authorized by the copyright owner, its agent, or the law; and a statement under penalty of perjury that the information in the notice is accurate and that you are authorized to act for the copyright owner. GagliTech LLC has not registered a designated DMCA agent with the U.S. Copyright Office. This section provides a practical copyright-notice contact only and does not represent that GagliTech LLC has completed any Copyright Office designated-agent registration.
Electronic Communications and Contracting
You agree that these terms, website notices, consent records, and related communications may be provided electronically. Your use of the site, submission of a form, selection of a consent option, or other electronic action may create an electronic record or electronic signature where permitted by law. You are responsible for maintaining the hardware, software, internet access, and email access needed to view and retain electronic records.
Entire Agreement
These Terms of Use, together with the Privacy Policy, Cookie Policy, and any additional terms presented with a specific website feature or communication channel, form the entire agreement between you and GagliTech LLC regarding use of the site and supersede prior or contemporaneous understandings about the site. Separate written service agreements, statements of work, business associate agreements, nondisclosure agreements, or signed contracts will control only for the specific services or relationship they cover.
Assignment
You may not assign, delegate, or transfer these terms or any rights or obligations arising from use of the site without GagliTech LLC's prior written consent. GagliTech LLC may assign these terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, or operation of law.
Force Majeure
GagliTech LLC will not be liable for delay, failure, interruption, or degraded performance caused by events beyond its reasonable control, including acts of God, natural disasters, labor disputes, internet or telecommunications failures, hosting or cloud-provider outages, cyberattacks, power failures, governmental actions, civil unrest, war, terrorism, epidemics, pandemics, or other force majeure events.
Equitable Relief
You acknowledge that misuse of the site, unauthorized access, infringement, scraping, security attacks, or misuse of GagliTech LLC intellectual property may cause irreparable harm for which monetary damages may be inadequate. GagliTech LLC may seek injunctive or other equitable relief in any court of competent jurisdiction without posting bond, in addition to any other available remedies.
No Third-Party Beneficiaries
These terms are for the benefit of you and GagliTech LLC only. Except for GagliTech LLC's owner, affiliates, contractors, service providers, and representatives as expressly protected by these terms, no other person or entity has rights to enforce these terms as a third-party beneficiary.
Limitation on Claims
To the fullest extent permitted by law, any claim arising from or relating to the site or these terms must be brought within one year after the claim accrues, or the claim is permanently barred.
Changes To The Site Or Terms
GagliTech LLC may update the site and these Terms of Use from time to time. Changes will be posted on this page with an updated effective date. Continued use of the site after changes are posted means you accept the updated terms, subject to applicable law.
